You and your job
As Legal Counsel Governance, your high-quality legal advice contributes to effective, compliant and sustainable governance and steering of Rabobank Group. This includes advising our internal stakeholders and decision makers on material governance arrangements of corporate bodies within Rabobank and subsidiaries, Rabobank’s unique cooperative governance structure and a wide array of related topics. You will join a senior and highly committed team with a collaborative focus and work close to the heart of the principal decision making center of a globally active financial institution.
Being a Legal Counsel Group Governance in an international banking group, company law and governance codes as well as (financial) regulatory laws and guidelines (such as the Capital Requirements Directive, Financial Supervision Act and EBA Guidelines on Internal Governance) are part of your daily practice.
Practical Examples
- Early involvement in material organizational changes, designing and advising on governance set-up in multi-disciplinary working groups;
- Review or draft governance documents like Articles of Association, Terms of Reference, Rules of Procedure and contribute to maintaining templates and sharing relevant knowhow;
- Advise on related topics like duties of directors, conflict of interest, liability, indemnities, mandating of decision power, regulatory requirements for bank governance, representation and proxy, suitability processes (fit & proper testing), cross border challenges and decision making support.

- Work on material governance arrangements and related topics;
- Keeping track of relevant legislative developments and processes and applying it in our daily practice;
- Closely collaborate with committed and experienced team members but also key stakeholders like Corporate Secretary & Cooperative Governance, Compliance and Financial Economic Crime, and other domains.

You and your talent
- You have completed the Dutch legal university education (rechten), bachelor and master; master in Notarial Law is preferred;
- Minimum of 3-5 years of experience in the corporate practice;
- Solid strategic discussion partner and advisory skills;
- An excellent command of both Dutch and English, spoken and written.

This is what we offer you
- A salary between € 4.515,51 and € 7.687,41 gross per month depending on experience (Scale 9 or scale 10);
- Thirteenth month and 8% holiday allowance;
- An extra budget of 10% of your gross salary to be used at your discretion. Buy extra holiday hours, add more to your pension savings or ask for part of the extra budget to be paid out.
